Terms of Use

These terms govern use of the Orange Grove Social client portal at app.orangegrovesocial.com (the “Portal”), operated by Orange Grove Social LLC (“Orange Grove,” “we,” “us”). By signing in, you agree to them on your own behalf and, if you use the Portal for a business, on that business's behalf. Your business's service agreement with Orange Grove governs the services we provide; if these terms and that agreement conflict, the agreement controls.

Accounts and access

• Portal accounts are created by Orange Grove for clients and their authorized staff. Keep your sign-in method secure and tell us right away if you believe your account has been used without permission.
• Your business's designated owner controls who on their side has access and at what level (approver, commenter, or viewer). Orange Grove may adjust access at the business owner's request or to protect the Portal.
• You may use the Portal only for your business's engagement with Orange Grove and only in a lawful way.

Approvals are instructions

When an authorized approver approves a post, requests changes, or rejects it in the Portal, that is a binding instruction to Orange Grove under the service agreement. Approved content may be scheduled and published as shown in the approval preview. Requests for changes after approval are handled as new work under the agreement. Approvals are recorded with the approver's name and time.

Advertising

Where Orange Grove manages paid advertising for your business, you grant access to your advertising accounts through Meta Business partner access. You remain the advertiser of record and responsible for the payment method on your ad account. Orange Grove's team creates, adjusts, and pauses campaigns within the budgets you have agreed to; advertising results are shown in the Portal as reported by the platform and are not guaranteed. The Portal may propose changes based on performance rules; a member of our team confirms every change that affects spend.

Content and ownership

• Content Orange Grove creates for your business is owned as set out in the service agreement (typically: the business owns approved deliverables once paid for).
• You retain ownership of material you upload or provide, and you grant Orange Grove a license to use it to perform the services.
• You represent that material you provide doesn't infringe anyone's rights and that you have authority to approve content on the business's behalf.
• The Portal software, design, and workflows are Orange Grove's property and may not be copied, resold, or reverse engineered.

Acceptable use

Don't use the Portal to upload unlawful, infringing, or harmful material; to attempt to access other clients' data; to interfere with the service; or to send unsolicited messages through any integration. We may suspend access that violates these terms.

Privacy

Availability and changes

We work to keep the Portal available and accurate, but it is provided “as is.” Features may change, and we may take the Portal offline for maintenance. Performance figures come from third-party platforms (such as Meta and Stripe) and may be delayed or revised by them.

Limitation of liability

To the fullest extent permitted by law, Orange Grove's total liability arising from use of the Portal is limited to the amounts your business paid Orange Grove in the 3 months before the claim, and Orange Grove is not liable for indirect, incidental, or consequential damages, including lost profits or advertising results. Nothing here limits liability that cannot be limited by law.

Termination

Access ends when your business's engagement ends or on request. Sections about ownership, liability, and governing law survive.

Governing law

These terms are governed by the laws of the State of Florida, and disputes will be brought in the state or federal courts located in Pinellas County, Florida, unless the service agreement says otherwise.
